The High Court has issued orders blocking the Annual General Meeting of Utumishi Investment Limited slated for November 19 following an application filed by members of the Kenya Police SACCO.
Milimani Commercial Judge Josephine Mong'are certified the matter as urgent saying Utumishi, Ruaraka Housing Estate Ltd, and Kenya National Police DT Sacco shall not call, organise, convene or hold any AGM pending determination of the matter in court.
The members told the court that AGMs have previously been secretly held in a bid to lock out a majority of the members from having any information regarding the affairs of Utumishi Investment Ltd.
"They need to be stopped before any further damage or wastage is done to the properties held in trust for us, as the officials are treating the properties with no accountability," they said.
According to the court documents, Utumishi's alleged 'illegal officials' called for an AGM that was to be held on November 19.
Some of the issues to be dealt with were the appointment of an independent auditor for the year 2024 to audit books of accounts, receive and adopt the budget for the year 2024, to receive, consider and approve the annual report and financial statements of Utumishi Investment Limited for the year ending 31 December 2023, elections among others.
"The reason why we moved this court was to question the legitimacy of Utumishi officials in office and bring them to account on how properties belonging to us have exchanged hands without the knowledge and consent of members,"
Judge Mong'are directed responses to the case to be filed within seven days.
The case will be mentioned on December 19 for further directions.
